Terms and Conditions Of Use Of This Site
The Football Association Premier League Limited (the
"Premier League"), with its company number 02719699 and
its registered address at 30 Gloucester Place, London, W1U
8PL, has created a logo site at
http://logo.premierleague.com ("Logo Site") for its
commercial partners who have been directed by the Premier
League to use the Logo Site ("Commercial Users") and media
organisations whose primary function is to provide
editorial news services and which intends to report on
Premier League football ("Media Users"; collectively known
as "Users") to access and use its logos and any other
material made available through the Logo Site ("Logos")
for the sole purpose of:
(i) (in the case of Commercial Users) performing any
contract(s) between the Premier League and the Commercial
User; and
(ii) (in the case of Media Users), providing genuine news
and sports reporting on Premier League football
(each
a "Purpose"),
in accordance with these terms and conditions and any
contractual obligations owed to the Premier League to
which Commercial Partners may be subject.
By accessing the Logo Site and/ or using any of the
Logos in any way, you are deemed to have accepted these
terms and conditions.
Interpretation

These terms and conditions shall be binding on the
parties to these terms and conditions and their
respective personal representatives, successors and
permitted assigns.
Use of And Ownership Of IP Rights In the Logos
-
The Premier League is the sole legal and beneficial
owner of, and owns all intellectual property rights
(including without limitation trade marks, copyright,
rights and interests in the nature of copyright)
subsisting in the Logos in any part of the world in
which the User has access to them.

The Premier League grants the User a non-exclusive
licence to use the Logos for the applicable Purpose.

The User does not have permission to use any other
Premier League logos or material, other than those made
available through the Logo Site.

Save as otherwise expressly permitted by law, the User
shall not reproduce or otherwise use, adapt, communicate
or make available the Logos:
- other than for the applicable Purpose; nor
-
in a manner that suggests sponsorship or endorsement
by the Premier League, or confuses the Logos with
another brand.

The User shall not in any way alter (other than to
resize for editorial reasons), distort, adapt or amend
any of the Logos.

The User shall not do or omit to do anything to diminish
the rights of the Premier League in the Logos, nor
assist any other person to do so, either directly or
indirectly, nor use the Logos in any manner likely to
tarnish the Premier League's reputation or the value of
its brand or of the intellectual property rights in the
Logos.

The User shall procure that every Logo used be marked
with a notice in the following terms:

Nothing in these terms and conditions shall:
-
grant any right to:
-
incorporate any of the Logos into video/
audiovisual footage of Premier League matches
("Footage"); nor
-
reproduce, communicate to the public, show, make
available or adapt (i) Footage; nor (ii) any
Logo (or part of a Logo) as it appears in
Footage;
-
constitute any representation or warranty that the
exercise by the User of rights granted under these
terms and conditions will not infringe the rights of
any person.
Term
-
These terms and conditions shall come in to effect as
soon as the Logo Site has been accessed. On accessing
the Logo Site for the first time, the user will be asked
to tick the following tick-boxes to acknowledge and
confirm that:
-
the user accessing and using the Logos is either (i)
a Media User intending to report on Premier League
football, and/or (ii) a Commercial User who has been
directed by the Premier League to use the Logo Site;
and
-
any use of the Logos is for the applicable Purpose
and strictly subject to these terms and conditions.

If either of the above two criteria are not met for any
potential user:
-
the user must stop using the Logo Site immediately;
and
-
the rights granted to Users under these terms and
conditions shall not extend to any such potential
user.

The licence granted to the User under these terms and
conditions will last until any of the following occur:
(i) the Premier League decides at any time at its sole
unfettered discretion to withdraw the licence (whether
in respect of a particular User or class of Users, or in
respect of all Users); or (ii) the User breaches any of
these terms and conditions; or (iii) the Premier League
ceases to make the Logo Site available or takes it down.

Should the Premier League withdraw the licence to use
its Logos under these terms and conditions, the User
shall immediately:
- cease all use of the Logos;
-
remove the Logo from all of its material within 12
hours of being given notice by the Premier League;
and
-
delete or destroy all copies in its possession or
control of the Logos and provide evidence to the
Premier League of the same on request.

The Premier League reserves the right to cancel, modify,
or change these terms and conditions at any time at its
sole discretion.

Any provision of these terms and conditions that
expressly or by implication is intended to come into or
continue in force on or after termination or expiry of
these terms and conditions shall remain in full force
and effect.
Liability and Indemnity

Nothing in these terms and conditions shall have the
effect of excluding or limiting any liability for death
or personal injury caused by negligence.

To the fullest extent permitted by law, the Premier
League shall not be liable to the User for any costs,
expenses, loss or damage (whether direct, indirect or
consequential, and whether economic or other) arising
from the User's exercise of the rights granted to it
under these terms and conditions.

The User shall indemnify the Premier League against all
liabilities, costs, expenses, damages and losses
(including any direct, indirect or consequential losses,
loss of profit, loss of reputation and all interest,
penalties and legal costs (calculated on a full
indemnity basis) and all other reasonable professional
costs and expenses) suffered or incurred by the Premier
League arising out of or in connection with:

the User's breach or negligent performance or
non-performance of these terms and conditions; or
-
the enforcement of these terms and conditions.
General
-
The User shall not assign, transfer, charge,
sub-license, or deal in any other manner with any or all
of its rights and obligations under these terms and
conditions without the prior written consent of the
Premier League.

No one other than the User and the Premier League shall
have any right to enforce any of these terms and
conditions.

Nothing in these terms and conditions is intended to, or
shall be deemed to, establish any partnership or joint
venture between any of the parties, constitute any party
the agent of another party, or authorise any party to
make or enter into any commitments for or on behalf of
any other party.

These terms and conditions and any dispute or claim
(including non-contractual disputes or claims) arising
out of or in connection with it or its subject matter or
formation shall be governed by and construed in
accordance with the law of England and Wales.

Each party irrevocably agrees that the courts of England
and Wales shall have exclusive jurisdiction to settle
any dispute or claim (including non-contractual disputes
or claims) arising out of or in connection with this
agreement or its subject matter or formation.
